The terms under which you may use our site and services

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the America To Go website, ordering platform, Vendor Portal, Client Portal, and related services (collectively, the "Service"), operated by America To Go, LLC ("America To Go," "we," "us," or "our"). By accessing or using the Service, creating an account, placing an order, or fulfilling an order through the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

America To Go operates a business-to-business catering management and ordering platform used by institutional buyers and approved Vendors. "Vendor" means an approved caterer, restaurant, or food-service provider. The Service enables buyers to place catering and meal orders, Vendors to receive and fulfill those orders, and both parties to manage related approval, billing, payment, and reporting through integrated tools, including integrations with buyer purchasing systems.

3. Accounts

To use most features of the Service, you must register an account. You are responsible for providing accurate and current information, maintaining the confidentiality of your credentials, and all activity that occurs under your account. You must promptly notify us of any unauthorized use of your account or other security breach.

4. Buyer Obligations

If you place orders through the Service ("Buyer"), you agree to:

  • Place orders only for legitimate institutional purposes within the scope of your organization's permitted use;
  • Provide accurate delivery and contact information;
  • Honor placed orders subject to applicable cancellation policies;
  • Pay all charges owed for orders, including taxes, gratuities, and delivery fees as displayed at the time of order;
  • Comply with any spending limits, approval workflows, or purchasing policies established by your organization.

5. Vendor Obligations

If you provide goods or services through the Service ("Vendor"), you agree to:

  • Maintain accurate menus, pricing, hours, and capacity information;
  • Promptly confirm or decline orders within the timeframes communicated to you;
  • Fulfill confirmed orders in accordance with the represented schedule, quality, and quantity;
  • Comply with all applicable food safety, health, employment, and licensing laws;
  • Carry appropriate liability and product insurance;
  • Honor the cancellation, dispute, and refund policies established by your participation agreement with America To Go.

6. Orders, Pricing, and Payment

All orders placed through the Service are subject to confirmation by the assigned Vendor. America To Go provides software, ordering, administrative, customer-support, and payment-processing tools that help approved institutional clients manage catering orders with approved food-service vendors through the platform. Pricing displayed at the time of order controls. Payment is processed by third-party payment processors as described in our Privacy Policy. Buyers authorize charges to their selected payment method for the full amount owed, including any later adjustments approved through the Service.

7. Cancellations, Modifications, and Disputes

Orders may be modified or cancelled subject to the policies displayed at the time of order. Disputes regarding order quality, fulfillment, or billing should be raised through the dispute mechanism in the Service. America To Go may, at its discretion, mediate disputes but is not obligated to resolve them on behalf of either party.

8. Communications

By using the Service, you consent to receive communications from us electronically, including by email and, where you have opted in, by text message (SMS or RCS). The America To Go SMS messaging program is operated for transactional notifications only — order updates, vendor confirmation prompts, payment notifications, and portal-access links sent to enrolled users in connection with their own account activity. The program does not use SMS for affiliate marketing, lead generation, or third-party promotional messaging. Message frequency varies. Message and data rates may apply. Reply HELP for help, STOP to unsubscribe. Mobile opt-in data and SMS consent are not shared with any third parties. Further information about text messaging, opt-in, and how to revoke consent is provided in our Privacy Policy and at the point you opt in.

9. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms;
  • Misrepresent your identity or your authority to act on behalf of an organization;
  • Reverse engineer, decompile, or attempt to access non-public portions of the Service;
  • Use the Service to send spam, malicious code, or harassing communications;
  • Interfere with the Service's operation or attempt to circumvent its security.

We may suspend or terminate accounts that violate these provisions.

10. Intellectual Property

The Service, including its software, design, content, and trademarks, is owned by America To Go or its licensors and is protected by intellectual property laws. You receive a limited, non-exclusive, revocable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works of the Service without our prior written consent.

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AMERICA TO GO IS NOT RESPONSIBLE FOR THE QUALITY, SAFETY, OR LEGALITY OF GOODS OR SERVICES PROVIDED BY VENDORS.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AMERICA TO GO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US (OR, IF YOU ARE A VENDOR, RECEIVED FROM US) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

14. Indemnification

You agree to indemnify and hold harmless America To Go from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of the rights of any third party.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. You may stop using the Service and request account deletion at any time. Sections of these Terms that by their nature should survive termination will do so.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the jurisdiction of those courts.

17. Relationship to Other Agreements

If you have entered into a separate written agreement with America To Go (such as a master services agreement or vendor participation agreement), the terms of that agreement will control in the event of any conflict with these Terms, except with respect to provisions that, by their terms, expressly state these Terms control.

18. Changes to These Terms

We may modify these Terms from time to time. Material changes will be communicated by email and/or a prominent notice on the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.
